These general terms of service ("Terms") govern any use of the services offered by Hallmark Logistics Solutions ("Hallmark"), namely parcel forwarding, parcel consolidation, e-commerce fulfillment, B2B freight, customs clearance, and last-mile delivery (collectively, the "Services").
By creating a Hallmark account, accepting a quote, or instructing Hallmark to handle a shipment, the customer ("Customer") confirms having read, understood and accepted these Terms in their entirety.
Hallmark account
Use of the Services requires the prior creation of a Hallmark account. The Customer warrants that the information provided at registration is accurate, complete and up to date. The Customer is responsible for keeping account credentials confidential and for any activity carried out under the account.
The opening of an account is reserved for natural persons of legal age and for entities duly registered. Hallmark may, at its sole discretion, refuse or close an account in case of misrepresentation, fraud, breach of these Terms, or risk of breach of applicable law.
Description of the Services
Hallmark places at the disposal of the Customer one or more receiving addresses in France and in the United States. Parcels addressed to those addresses are received, photographed, weighed, registered in the Customer's online dashboard, and stored at no charge for up to sixty (60) days for personal accounts and ninety (90) days for business accounts, after which storage fees apply.
The Customer may instruct Hallmark to forward parcels individually or as consolidated shipments to any destination served by Hallmark, subject to the conditions of carriage of the chosen carrier and to the customs rules of the country of destination.
Hallmark acts as a freight forwarder under the terms of Article L. 132-1 et seq. of the French Commercial Code. Unless explicitly agreed in writing, Hallmark is not the carrier of the goods.
Prices and payment
Quotes provided by Hallmark are calculated on the basis of the declared weight, dimensions, value and destination of the shipment. Prices are firm for 48 hours from the date of issue and may evolve thereafter according to carriers' rate sheets and exchange rates.
Prices include freight, customs duties (when shipped DDP — Delivered Duty Paid, the default option), handling, insurance up to €5,000, and last-mile delivery. Storage beyond the free period, returns, repackaging, manual customs interventions or premium last-mile options are billed separately.
Payment is made before shipment by credit card, SEPA transfer, or other methods proposed by Hallmark. Business customers may benefit from net-30 payment terms after a credit review and signature of a service agreement.
Customer's obligations
The Customer warrants that the goods entrusted to Hallmark are legal in both the country of origin and the country of destination, that the declared value matches the commercial reality, and that the goods are properly described.
The Customer expressly undertakes not to entrust Hallmark with prohibited or restricted items, including but not limited to: weapons, ammunition and explosives; perishable foodstuffs unless explicitly agreed; cash, securities and negotiable instruments; live animals; narcotic substances; counterfeit goods; cultural property without the required permits; and any product subject to import restrictions in the destination country.
Failure to comply with this clause exposes the Customer to the seizure of the goods, the termination of the contract, the payment of all penalties applied by customs and carriers, and any other remedy available to Hallmark.
Liability and insurance
Each shipment benefits, without additional charge, from an insurance covering loss, theft or damage up to a value of €5,000. The Customer may purchase additional coverage up to €50,000 by declaring the increased value when confirming the shipment.
Claims must be submitted in writing to claims@hallmark-logistics.com within seven (7) calendar days of delivery, accompanied by the photographs taken upon receipt by Hallmark, the photographs taken upon delivery to the recipient, the commercial invoice, and any other supporting documentation requested. Eligible claims are settled within fourteen (14) calendar days of acceptance.
Outside the cases of fault, Hallmark's liability is, in any event, limited to the insured value of the shipment. Hallmark cannot be held liable for indirect or consequential damage, loss of profit, loss of opportunity, commercial damage or damage to the Customer's image.
Force majeure
Neither party can be held liable for any breach of these Terms caused by an event of force majeure, namely any event beyond the reasonable control of the party in question, including without limitation acts of war, terrorism, riots, natural disasters, pandemics, strikes, embargoes, governmental decisions or carrier defaults of a force-majeure nature.
The affected party will inform the other party as soon as possible and the parties will discuss in good faith the consequences on the performance of the contract.
Duration and termination
These Terms enter into force upon creation of the account and remain in force as long as the account is active. Either party may terminate the contractual relationship at any time by closing the account, without penalty, but without prejudice to obligations relating to shipments already accepted.
In the event of a serious breach by the Customer, Hallmark may terminate the contract immediately, without prior notice and without prejudice to any damages it may claim. Pending shipments are then either delivered, returned at the Customer's expense, or destroyed in accordance with applicable law.
Applicable law and disputes
These Terms are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution beforehand. Failing this, the dispute will be submitted to the exclusive jurisdiction of the Paris Commercial Court (Tribunal de commerce de Paris).
In accordance with Article L. 612-1 of the French Consumer Code, the consumer Customer may have recourse free of charge to a consumer mediator. The mediator designated by Hallmark may be contacted via the website www.mediation-conso.fr.
